Terms of service.
The rules that apply when you use this site or engage kumoworks. Plain language where possible; the signed statement of work always wins for scope and price.
Last updated: 8 November 2026 · Version 1.1
1. Who we are
These terms are between you (“client”, “you”) and Kumo Works (“kumoworks”, “we”, “us”), based in Bengaluru, India. By using this website or engaging us, you agree to these terms.
2. What we do
We provide consulting, design, build, and support services for agentic workflows and business automation. The specific scope, deliverables, timeline, and fee for an engagement are set out in a proposal, statement of work (SOW), or written confirmation. If there is a conflict, the signed SOW prevails over these terms.
3. Proposals and acceptance
A proposal is valid for 14 days unless stated otherwise. An engagement begins when we receive a signed SOW or written acceptance. The free 30-minute audit is not a paid engagement. We may decline work that we cannot deliver responsibly, including work that requires guarantees we cannot make.
The scope is the scope in the SOW. Any change to requirements, data sources, systems, integrations, access, approvals, acceptance criteria, or timeline is a change request. We will assess it in writing and may adjust the fee, timeline, and deliverables. We are not obligated to absorb scope changes, and work on a change request begins only after it is agreed.
4. Fees, GST, and payment
- Fees are quoted in Indian Rupees (INR) and exclude GST unless stated. GST at 18% applies to Indian clients.
- Unless the SOW says otherwise, work is billed hourly at ₹6,000/hour + GST, weekly, against a written not-to-exceed cap. The minimum paid block is four hours.
- Invoices are due within 7 days. Late payments may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower.
- Third-party costs (APIs, subscriptions, WhatsApp conversation charges, hosting, travel) are additional and are either billed at actuals or paid directly by you.
- TDS may be deducted at the applicable rate. Please share the TDS certificate within 30 days.
- Fees are non-refundable once paid, except where required by applicable law or where we cancel for our own convenience. No refund is due for a change of mind, client-side delay, or work already performed.
- Credits, where offered, are adjustments against future fees — not cash refunds.
5. Your responsibilities
You agree to provide timely access to systems, data, and people; to nominate a process owner who can make decisions; to review deliverables within the agreed windows; and to ensure you have the right to share any data or credentials you give us. Delays caused by missing access or feedback may change the timeline and fee.
If access, data, decisions, or feedback are delayed, the timeline pauses and may be extended day-for-day; fees are not reduced. You are responsible for the accuracy of the data you provide. Change requests are quoted at ₹6,000/hour, minimum four hours, unless the SOW says otherwise.
6. Third-party services
Our work may depend on third-party platforms (for example, model providers, WhatsApp, CRM, ERP, hosting, or scheduling tools). Their availability, pricing, and terms are outside our control. We will tell you about material dependencies, but we are not responsible for a third party’s outage, price change, or policy change.
7. Intellectual property
On final payment, you own the deliverables we create specifically for you: workflow code, prompts, configuration, and documentation. We retain ownership of our pre-existing tools, libraries, templates, and know-how, and grant you a perpetual, non-exclusive licence to use them as embedded in the deliverables. We may reuse generic patterns and learnings, but not your confidential data or business logic.
8. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only for the engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law. We will sign your NDA where needed; a mutual NDA is our default.
9. Data protection
For client data processed in delivery, we act as a data processor and will sign a data processing agreement. We will follow your lawful instructions, use least-privilege access, and not use your data to train models. For website enquiries, we act as a data fiduciary under our privacy policy.
10. Warranties and disclaimers
We will perform services with reasonable skill and care and in line with the SOW. We do not warrant that a workflow will be error-free, uninterrupted, or achieve a specific financial outcome, unless expressly agreed in writing. AI systems are probabilistic; the SOW defines the accuracy and escalation thresholds we will measure. Any ROI or savings figure is an estimate, not a guarantee; it depends on your data, adoption, and process discipline.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under an engagement is limited to the fees paid or payable for that engagement in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential loss, loss of profit, loss of data, or business interruption. Nothing in these terms limits liability for fraud, wilful misconduct, or death/personal injury caused by negligence.
12. Indemnity
You will indemnify us against claims arising from data or materials you provide that you do not have the right to share, or from your use of a deliverable in breach of law or a third-party agreement. We will indemnify you against claims that our original work infringes a third party’s intellectual property, provided you notify us promptly and let us control the defence.
13. Termination
Either party may terminate for material breach with 14 days’ written notice to cure. We may suspend work for non-payment or missing access. On termination, you pay for work completed and approved expenses; fees for work performed are non-refundable. We hand over work product produced to date, subject to payment. If we cancel for our own convenience, unused fees are returned. Ongoing support is hourly with a monthly cap; either party may stop it with 30 days’ written notice. Unused hours are not refunded.
14. Non-solicitation
During an engagement and for six months after, neither party will knowingly solicit the other’s employees or contractors for a competing role. This does not restrict general job advertisements.
15. Governing law and disputes
These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction. Before litigating, the parties will try in good faith to resolve the dispute through a senior-level discussion for 30 days.
16. Notices
Notices to us: [email protected]. Notices to you: the email address in the SOW. Notices are effective on the next business day after sending, unless the sender receives a bounce.
17. Acceptance
Deliverables are deemed accepted seven days after delivery unless you send a written rejection identifying the specific non-conformance with the SOW. We will correct confirmed in-scope defects. New requirements are change requests, not warranty work or refunds.
18. Entire agreement
These terms, the SOW, the DPA, and any signed NDA form the entire agreement. If any provision is unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver.
These terms are a template for a consulting engagement and are not legal advice. Have them reviewed by an Indian lawyer before relying on them for a high-value contract.
