Cancellation &
payment.
The commercial terms for changing, pausing, or stopping an hourly engagement. The signed statement of work prevails over this page.
Last updated: 8 November 2026 · Version 1.2
This policy applies to engagements with Kumo Works (“kumoworks”). All amounts are in INR and exclude GST unless stated. The signed SOW may contain different terms; where it does, the SOW prevails.
1. Fees are non-refundable
Fees are non-refundable once paid, except where required by applicable law or where we cancel for our own convenience. We do not refund for a change of mind, a change in priorities, client-side delays, or hours already worked. There are no credits, packages, or unused-hour rollovers.
2. Free 30-minute audit
The first 30-minute workflow audit is free. It covers one workflow, a quick feasibility check, a rough hour range, and a go/no-go. It does not include a written roadmap, prototype, eval set, or RFP response. No payment is due for this call.
3. Paid implementation
- Paid work is billed at ₹6,000/hour + GST, in weekly blocks, against a written not-to-exceed cap.
- The minimum paid engagement is 4 hours per statement of work.
- If you cancel after work starts, you pay for hours worked and approved expenses; unused hours are not billed. No refund is due for hours already worked.
- If we hit the cap, we stop and re-scope. Additional work needs a written change order with a new cap.
4. Change requests
Scope is fixed in the SOW. A change to requirements, data sources, systems, integrations, access, approvals, acceptance criteria, or timeline is a change request. We will assess it in writing and may adjust the hours, cap, and deliverables. We are not obligated to absorb scope changes, and work on a change request begins only after it is agreed.
5. Client dependencies and delays
You are responsible for timely access to systems, data, and people; for nominating a decision-maker; and for reviewing deliverables within the agreed windows. If access, decisions, data, or feedback are delayed, the timeline pauses and may be extended. We do not bill for time we cannot use because access was missing, but the schedule moves.
6. Acceptance
Deliverables are deemed accepted seven days after delivery unless you send a written rejection that identifies the specific non-conformance with the SOW. We will correct confirmed in-scope defects. New requirements are handled as change requests, not as warranty work or refunds.
7. Cancellation by us
We may decline or stop work if a project requires guarantees we cannot make, if access is not provided after a reasonable period, if invoices are overdue, or if the work would be unsafe or unlawful. In that case, you pay for hours worked and approved expenses; if we cancel for our own convenience, unused fees are returned.
8. Chargebacks
Please talk to us before raising a chargeback. A chargeback raised without contacting us may pause active work until it is resolved. We will provide the SOW, timesheets, invoices, and delivery records.
9. Third-party costs
API usage, software subscriptions, WhatsApp/Meta conversation charges, BSP platform fees, hosting, travel, and other third-party costs are non-refundable once incurred. Where possible, you pay vendors directly.
